Wholesale Agreement, Terms and Conditions

This Wholesale Agreement (“Agreement”) is made between You/your Company and EUROPE2YOU [also known as etúHOME] (“E2Y”) upon execution and delivery by E2Y. 

GENERAL ORDERING INFORMATION

To qualify for wholesale purchases as a stocking dealer, you must be a valid retail business with a storefront and/or online web shop and/or professional design business. You must submit a copy of your resale exemption certificate (first orders only). By registering for an account and/or placing an order with E2Y, you agree to the terms and conditions. By placing a stocking dealer order with E2Y and providing the resale exemption certificate, you are representing that you are the owner, agent or representative of a currently valid retail business and that the transaction being made is a wholesale, tax exempt purchase for resale and are not for personal use.

  • Minimum opening order: $1,000
  • Reorder: $500
  • Minimum order quantities must be met

To qualify for purchases as a non-stocking dealer, you must submit a copy of your tax id certificate (first orders only). By registering for an account and/or placing an order with E2Y, you agree to the terms and conditions. By placing a non-stocking dealer order with E2Y and providing a valid tax id you are representing that you are the owner, agent or representative of a valid design, service, consulting, hospitality or project-based business procuring items for clients or projects not to be resold or used personally.

  • Minimum opening order: $300
  • Reorder: $300
  • Minimum order quantities are waived on most items

PRODUCT TOLERANCE 

All newly made E2Y product and all found or vintage products including but not limited to wood, glass, metal, are artisan-crafted and therefore, dimensions on website, catalog and showrooms are approximate and not exact. Perfect imperfections can be seen on products and are desired. More information can be found on the individual product pages with images supporting our inventory. All sales are final. 

PAYMENTS 

All payments shall be made with a Credit Card. Web orders are charged in full upon placing the order and future orders placed through the sales team can be charged up to 2 weeks prior to a ship date. By providing a credit card number and expiration date on the order form, online or via tradeshows, you are irrevocably authorizing E2Y to charge the credit card for the entire purchase price plus freight at least two (2) weeks prior to shipment. Once orders are packed and/or shipped they cannot be modified or canceled. All cancellation requests including any order changes, date changes, shipping changes of any kind must be made in writing by email, no exceptions. We cannot guarantee we can accommodate these requests once the order is submitted. Once charged, all sales are final. 

FURNITURE PAYMENTS AND SHIPPING

E2Y sells made to order and ready to ship Furniture. All payments shall be made with a Credit Card. All furniture items will be charged fifty percent (50%) of the purchase price at the time of order placement. Upon payment, the order will be placed and is non-refundable and non-returnable, no exceptions. The remaining balance due, including freight, will be charged prior to order shipping. 

If purchasing made to order Furniture, it typically arrives 12-14 weeks after your order has been paid. Ready to ship items are typically ship within 2 weeks from payment. Please note that it may take longer to arrive depending on possible yet unusual ocean carrier, customs and rail/road carrier delays which are out of our control. We do not guarantee estimated delivery dates.

All furniture and special-order product must be fully paid and leave our warehouse within 30 days of receipt to our warehouse. Any products that exceed 30 days are not the responsibility of etúHOME. Orders that do not leave our warehouse within 30 days will incur a storage fee, billed monthly, calculated at 10% of the order total.

MODULAR CABINETRY PAYMENTS AND SHIPPING

E2Y sells made to order Modular Cabinetry. All payments shall be made with a Credit Card. All furniture items will be charged fifty percent (50%) of the purchase price at the time of order placement. Upon payment, the order will be placed and is non-refundable and non-returnable, no exceptions. All cabinetry orders are final sale and cannot be changed, updated nor cancelled once the order has been submitted. CUSTOM/PRIVATE LABEL/SPECIAL ORDERS 

All payments shall be made with a Credit Card.  For all special orders, private label or custom items, E2Y charges the credit card in full for the entire purchase price of the order at the time the order is placed. Freight will be assessed and charged at the time of shipping. All special orders and custom orders of any kind are final sale and are non-refundable and non-returnable, no exceptions. 

Upon written quote approval and/or signature on a quote, order or other document with product information, you confirm that all details including but not limited to are correct: measurements, colors, materials, hardware. E2Y is not liable if items do not fit properly due to poor measurements.

After payment has been taken, the order will go into production and is not able to be cancelled, changed, updated or edited in any way.

Depending on the scope of the order, custom/private label/special orders’ lead time is approximately 12-16 weeks. Please note that it may take longer to arrive depending on possible yet unusual ocean carrier, customs and rail/road carrier delays which are out of our control. We do not guarantee estimated delivery dates.

All furniture, cabinetry, special-order and private label product must be fully paid, including freight charges, and leave our warehouse within 30 days of receipt to our warehouse. SHIPPING/DELIVERY & RECEIVING 

etúHOME will always work hard to process and ship orders quickly and accurately. The standard expected ship window is 7-14 business days. Orders may take longer to process depending on the complexity of the order, inventory levels, and the current warehouse volume of shipments. During Tradeshows and Holiday seasons, please expect additional delays due to order volumes.

If you are NOT open daily, you will need to contact FedEx immediately to schedule your delivery on a suitable day. Europe2You is not responsible for any re-delivery charges and cannot accommodate individual store opening and closing hours. By signing for the shipment, you are acknowledging that the order was received in perfect condition without any damage. If you see damage to your package and/or pallet, you must make a written notation on the Bill of Lading. If the shipment is signed for without any written damage notation on the Bill of Lading, E2Y is not responsible for filing a claim or replacing the merchandise. Any orders picked up from the E2Y warehouse must be inspected and signed for by the customer prior to leaving the premises; Europe2You will not be responsible for any damages claimed after an item or order has been picked up from the warehouse. 

E2Y is not responsible for supplemental fees incurred during delivery. The additional services are billed directly from our transport partner via a verbal contract with delivery driver and customer. These charges can include but are not limited to scheduling an appointment, lift gate, inside delivery, removal of pallet, etc.

E2Y is not responsible for storage fees incurred. Storage fees, for any reason, are the sole responsibility of the customer.

E2Y is not responsible for reconsignment fees incurred. Should redelivery be necessary, due to any reason, the charges are the responsibility of the customer. If you provide E2Y the wrong shipping address or fail to provide an updated shipping address, you are responsible for the related shipping costs/fees in addition to the re-shipment to the correct address.

Oversized: $500

Liftgate: $170

Residential Delivery: $170

Limited Access: $170

Delivery Notification: $60

Warehouse Pick Up: $100

RETURNS 

Europe2You does not accept returns of first quality merchandise for any reason. Any special circumstance for return requests must be approved in advance by Europe2You and accompanied by a Return Authorization Number (RMA). RMA’s are valid for 10 days upon issuing, and products must be returned within that timeframe. Failure to do so may result in refusal of refund. If first quality product is returned to Europe2You, a 30% restocking fee will be applied and deducted from the refund. Any product returned to Europe2You must be unused, unopened and packed in the original cartons utilizing all original packing materials and boxes. Failure to return first quality product in the original box can result in the denial of return. Any product received back in damaged condition due to ineffective packaging or due to carrier fault is not the responsibility of E2Y and will not be eligible for a refund. E2Y is not responsible for any lost returns. Outbound and inbound shipping and handling charges are not refundable. Sale items may not be returned. Please allow up to 14 days for refunds to be processed. 

DAMAGE/DEFECTIVE MERCHANDISE CLAIMS 

Any claim for damaged, defective or lost merchandise must be reported to Europe2You within 48 hours of delivery via the Damage Notification Form online. All product must be thoroughly inspected for visible and concealed damage before the driver leaves your facility. In order to file a claim, the driver must be notified at the time of delivery and take written documentation on the BOL along with photos on any loss or damage that occurred in transit. Europe2You is not responsible for damage in transit and makes every commercially reasonable effort to pack with carrier-approved materials. All orders leave the Europe2You warehouse intact and in perfect condition.  Europe2You insures all packages with the carrier for the wholesale purchase price. Photographs of the damaged piece(s) must support all damage claims. You agree to save packaging materials and product.  You further agree not to cancel nor contest payment nor deduct from any invoice any amount due to Europe2You as a result of a damage claim. Once the carrier conducted investigation is concluded we will contact you to resolve the issue. If you use your or a third-party shipping account, Europe2You is not responsible for replacing damages or filing any claims. Failure to fill out the online form within 48 hours of receipt of goods will result in a forfeit of compensation. The claims process goes through our Operations department and can take up to 30 days to be processed. 

FOUND OBJECT, RECLAIMED WOOD and RECYCLED GLASS RETURNS  

All found objects, reclaimed wood and recycled glass items sourced and shipped by Europe2You are crafted from repurposed materials making each piece unique. No two are alike, therefore the item you receive will be similar but not exactly the same as the item you see at market or on-line.  All of our found objects, recycled glass and repurposed items show signs of age and use, including ripples, bubbles, and markings in the found or recycled glass, engravings or initials on the wood, variation in wood grain and other signs typical of a time worn piece.  These signs of age are desired and help authenticate your found object. All wholesale orders are final.  Please contact us if you have any questions about found, reclaimed or recycled products prior to placing an order.

FINAL SALES – VINTAGE, ANTIQUE, ONE-OF-A-KIND, SPECIAL ORDER MERCHANDISE  

All vintage, antique, one-of-a-kind items and special orders including but not limited to furniture, mirrors, tabletop, etc., are final sale and may not be returned nor cancelled for any reason once purchased. These items are billed at the time the order is placed. Freight charges are in addition to cost of merchandise and will be billed separately before shipping. E2Y reserves the right to bill customer for any crating and/or special handling it deems necessary in order to insure proper transport of each vintage piece.  Items will be shipped between 1 and 90 days after billing, subject to third party carrier schedules. All items selected out of our showroom or warehouses are also final sale and may not be returned or exchanged for any reason.  It is important to note that all vintage, antique, one-of-a-kind items, by their very nature, are used or previously owned items and will show signs of age and use including but not limited to cracks, dents, missing or worn parts and other blemishes typical of a time-worn piece.  

MAP PRICING POLICY  

E2Y follows a strict Manufacturers Advertised Pricing Policy.  This policy applies to all advertisements of any E2Y products in any and all media, including but not limited to; flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs, Internet and all related electronic media, all social media, television, radio and public signage. THIRD PARTY SELLING 

E2Y prohibits selling its products on a third-party website. In order to sell E2Y products on your own website, you must receive written consent from Europe2You.

COPYRIGHT 

All of the designs, products and content within and any materials made available on the website are the sole property of Europe2You.  The website, designs, products, images and content within are protected by copyright and intellectual property law and may not be reproduced in any form without the express written consent of Europe2You.  You herby agree not to reprint, post, or copy (including electronic or digital scans) any photograph, sales materials, or product design without the advance, express written consent of Europe2You. This includes using digital images for purposes of e-commerce. 

INTELLECTUAL PROPERTY 

Any and all Intellectual property right associated with this website including designs, products, images and content presented herein, and any inventive concepts, knowhow, publicity right, trademarks, trade-dress, Trade Secrets, Copyright and patents (including and patent-pending items) (collectively “Intellectual Property”) are the sole property of Europe2You or third parties. Except as otherwise expressly authorized by Europe2You, you may not copy, reproduce, modify, lease, loan, sell, create derivative works from, upload, transmit, or distribute the Intellectual Property of the website in any way without the express written consent of Europe2You or the appropriate third party. 

PRIVACY 

Your privacy is important to us.  To better protect that privacy, Europe2You is providing this notice to explain how we collect, use and store data.  The only data that we collect, use and store is information you affirmatively provide to us when placing an order by using the Order Form, or alternatively the Order Form found on the website and your exemption certificate.  We do not collect data about you through the website nor do we use cookies or track IP addresses.  While the information you provide will be maintained for a commercially reasonable time by Europe2You for administrative and business purposes, your personally identifying information is never shared with any third party, other than (i) as required by law, (ii) to protect and defend the rights of Europe2You and the website, (iii) as incident to a corporate sale, merger, reorganization, dissolution, bankruptcy or similar event, or (iv) in the event that a need arises to contact you in regard to an order, a question, a customer service related matter, or as  may otherwise be required by law and only to the extent that such contact is required. Comments, suggestions or other communications sent by you to Europe2You are deemed to be non-confidential.  We have no obligation of any kind in relation to such comments, suggestions, or communications and are free to use or distribute them in any way, including in relation to the administration, update, or improvement of the website, without compensation to the author, sender, or any other party.  By executing this agreement and placing an order, you signify your assent to this privacy provision. Should you have any privacy-related questions or concerns, you may contact Europe2You at the contact information set forth on the home page of the website. 

INDEMNIFICATION 

You agree to indemnify, defend and hold harmless, Europe2You, its directors, officers, employees, assignees, and agents, and defend any action brought against same with respect to any claim, demand, cause or action, debt or liability, including reasonable attorneys’ fees, to the extent that such action is based upon a claim that: (i) if true, would constitute a breach of any of your agreements hereunder, and/or (ii) arises out of your negligence, willful misconduct, or other breach of the agreement. 

JURISDICTION 

This agreement has been entered into and shall be governed by the laws of the State of Georgia (without giving effect to its conflict of law provisions). All parties agree Georgia courts have jurisdiction. 

SEVERABILITY 

Each section of the agreement shall be deemed and construed as a separate and independent section, term or condition.  Should any part or provision of the agreement be declared invalid by a court of competent jurisdiction, such invalidity shall in no way render invalid or unenforceable any other section, term or condition herein. 

LEGAL FEES 

You understand and agree that you are or your company is responsible for your own legal fees.  If Europe2You takes any action to enforce, defend or interpret this agreement and these terms and conditions, Europe2You is entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and any costs whether in litigation or otherwise, in addition to any other relief at law or in equity to which Europe2You may be entitled. 

MODIFICATION 

Europe2You reserves the right to modify the terms and conditions contained herein.  Clerical or computer errors are subject to correction.  No action, omission or course of conduct shall constitute a waiver of any of the terms and conditions hereof, unless such waiver is specified in writing by Europe2You and then, only to the extent specified.

DROPSHIP PROGRAM, TERMS AND CONDITIONS  

Qualifications

In order to qualify for the etúHOME Dropship Program, you must meet the below criteria:

  • Must have a valid online web shop that fits the etúHOME brand.
  • Have a valid Tax ID and resale number. 
  • Be located in the continental United States of America.

By applying for a dropship account, you agree to the following:

MAP Policy

etúHOME maintains a strict MAP (Minimum Advertised Price) Policy for all its products. Any reseller publishing etúHOME products in any media format (Online, Catalog, Email, Social Media, or any other format) must publish and sell those products at a final sales price, after discounts and promotions, at or above the price of the product published on www.etuhome.com. Failure to follow the MAP Policy will result in the termination of this Dropship Agreement, and  etúHOME reserves the right to hold and/or cancel any pending orders.

Customer Service and End User Agreement

You the Reseller are responsible for all customer service issues relating to order issues with the final recipient of goods. etúHOME will refer all questions or claims from the final recipient back to the Reseller. It is the responsibility of the Reseller manage all communications with the final recipient of goods. Damage or Discrepancy Claims must be filed by the Reseller through the Damage/Discrepancy Claim Form found on wholesale.etuhome.com.

Returns

etúHOME does not accept returns on Dropship Orders. Dropship Orders are a contract between the Reseller and the final recipient of goods. Returns must be shipped by the final recipient back to the Reseller's return address. Any Dropship returns shipped to any of etúHOME's locations or warehouses will be refused or shipped back to the end user's address.

Damages

Right of Refusal

etúHOME reserves the right to refuse or cancel any Dropship Order which it deems unfillable or with issue. The amount of the order plus any additional charges will be refunded back to the original payment method. It is the responsibility of the Reseller to communicate the cancellation or refusal back to the final recipient.

Shipping Address Requirements

All Dropship Orders must have a Ship-To Address that is different from any address owned or operated by the Reseller. The Dropship Program is not designed to allow Resellers to purchase goods for themselves or their businesses below the Wholesale Minimum Order Policy. Failure to follow this policy will result in the termination of the Dropship Agreement.

  • etúHOME does not ship Dropship Orders to PO Box Addresses.
  • etúHOME does not ship Dropship Orders outside of the continental United States.
  • etúHOME cannot accommodate third party shipping accounts.

Order Processing Policy

etúHOME will always work hard to process and ship Dropship Orders quickly and accurately. The standard expected ship window is 7-14 business days. During Holiday seasons, please expect additional delays due to order volumes.

Payment Policy

Dropship accounts require a valid credit card to be kept on file for efficient processing, as all orders must be prepaid. All credit cards are immediately encrypted in our secure database. Failure to provide a valid credit card will result in your dropship orders being held for payment. You understand, by using our website portal and submitting an order, you are authorizing etúHOME to immediately take payment. Dropship orders are final sale and cannot be canceled or changed once submitted.
